These terms are an agreement between you and Coedit ("Coedit," "we," "us"). They govern your use of the Coedit website, app, and related services (together, the "Service"). By creating an account, publishing or sharing content, or otherwise using the Service, you agree to these terms. If you do not agree, please do not use the Service.
Coedit is a new and evolving product. Features may change, and we will keep these terms current as it grows.
Who can use Coedit
You may use the Service only if you can form a binding contract with us and are not barred from doing so under applicable law. If you use the Service on behalf of an organization, you confirm you are authorized to accept these terms for it. You must be old enough to consent to the processing of your personal data in your country (at least 16 in many places, or the minimum age required where you live).
Your account
You need an account to create, publish, and edit projects. Viewing and commenting on a shared link may be available without an account. Account sign-in is provided through our authentication provider. You are responsible for the activity under your account and for keeping your login secure. Tell us promptly if you believe your account has been used without your permission.
What Coedit does
Coedit turns a page you built with an AI tool, or by hand, into a live link that others can open, comment on, and edit with you. It provides sharing, element-anchored comments, version history, canvas and code editing, and publishing through our CLI and MCP tools. Coedit is a collaboration layer. It does not generate the underlying app for you, and it works with output from any tool.
Your content, and who owns it
"Your content" means the pages, files, text, images, comments, and other material you publish, upload, or create through the Service. You keep all rights you already have in your content. We do not claim ownership of it.
To run the Service, you grant Coedit a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, and transmit your content, and to make the changes needed to operate and secure the Service (for example, storing versions, rendering a preview, and serving a shared link to the people you share it with). This license exists only so we can provide the Service to you and the people you share with, and it ends when you delete the content or your account, except for content others have already copied or that we must retain for legal or safety reasons, and for backups that age out in the ordinary course.
You are responsible for your content. You confirm you have the rights needed to publish and share it and that it does not break these terms or the law.
Sharing and public links
When you create a share link, anyone with that link can open the project according to the role you set (view, comment, or edit). Unless you use a restricted link, treat shared projects as public: a link can be forwarded, and viewers do not need an account. Do not put confidential information, secrets, or anything you are not allowed to distribute into a project you share. Private and password-protected sharing are planned but are not a substitute for keeping genuinely sensitive material out of the Service.
Comments and collaboration
Comments and edits you make are visible to others who can access the project, and collaborators' contributions appear in a shared version history. Be respectful. Do not post content that harasses, threatens, or targets others.
Acceptable use
You agree not to use the Service to create, publish, share, or store content that:
- is unlawful, infringing, fraudulent, or deceptive, including phishing pages or attempts to collect other people's credentials or personal data;
- contains malware, or is designed to harm, probe, or gain unauthorized access to any system;
- infringes anyone's intellectual property, privacy, or other rights;
- is defamatory, harassing, hateful, or sexually exploitative, or that sexualizes minors;
- impersonates another person or misrepresents your affiliation.
You also agree not to disrupt or abuse the Service, including by overwhelming it with automated requests, evading rate limits or access controls, scraping it in bulk, reselling it without permission, or interfering with other users.
Content review and removal
We scan published content for high-risk abuse (such as credential-phishing pages) and may block, quarantine, or remove content and disable share links. We may act on reports, and anyone can report a shared project. We may suspend or terminate accounts that repeatedly or seriously break these terms. Where practical we aim to be transparent, but we can act without notice when needed to protect users or comply with the law.
AI features
Some features can run an AI model to suggest or apply changes. You are responsible for reviewing AI-assisted output before you rely on it or publish it. You can also connect your own model or your own agent (through our CLI or MCP), in which case your use of that provider is governed by their terms. AI output can be inaccurate; do not treat it as professional advice.
Third-party services
The Service relies on third parties for things like authentication, hosting, storage, and optional AI. Your use of the Service may also be subject to those providers' terms, and we are not responsible for third-party services we do not control.
Plans and payment
Coedit offers a free tier and paid plans (for example, Pro and Team) with additional features. Viewing and commenting on shared links are free. The current plans and prices are on our pricing page, and the price and billing period shown at checkout are what applies to your purchase. We may change limits, free features, and prices as the product develops; changes to a price you already pay take effect at your next renewal.
Paid plans are sold and billed through Paddle, our authorized reseller and merchant of record. This means your purchase is made with Paddle, and Paddle handles payment, invoicing, and any applicable sales tax or VAT. Paddle's buyer terms also apply to that transaction.
Paid plans renew automatically at the end of each billing period until you cancel. You can cancel at any time and keep access through the period you have already paid for. Refunds and cancellations are covered by our Refund and Cancellation Policy, including a 14-day money-back guarantee on your first purchase.
Our intellectual property
The Service itself, including Coedit's software, branding, design, and content we provide (but not your content), is owned by Coedit and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service under these terms. You may not copy, resell, reverse engineer, or create derivative works of the Service except as the law allows or we permit in writing. Product names and logos of other companies belong to their respective owners.
Feedback
If you send us ideas or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Service, with no obligation to you.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content will always be preserved. You are responsible for keeping your own copies of anything important.
Limitation of liability
To the fullest extent permitted by law, Coedit will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred US dollars.
Indemnification
You agree to defend and indemnify Coedit against claims, damages, and costs arising from your content or your misuse of the Service or violation of these terms, to the extent permitted by law.
Termination
You may stop using the Service and delete your account at any time. We may suspend or end your access if you break these terms, if required by law, or if we stop offering the Service. Sections that by their nature should survive termination (such as content licenses you have already granted to others, disclaimers, and limitation of liability) will survive.
Changes
We may update these terms as the product develops. When we make material changes, we will update the date above and, where appropriate, give notice. Continued use of the Service after changes take effect means you accept the updated terms.
Governing law
These terms are governed by the laws applicable at Coedit's principal place of business, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts there, unless mandatory local law gives you other rights.
